Late delivery of an off-plan home can leave a buyer paying rent after committing substantial funds to the purchase. Compensation may be available for the developer’s breach, but a missed deadline does not always entitle the buyer to end the agreement. An unjustified termination can itself put the buyer in breach.
For purchases in the areas controlled by the Republic of Cyprus, the sale agreement defines the developer’s delivery obligation. Subsequent correspondence may record an agreement to extend time or change the works, altering what the buyer can enforce.
What was the developer required to deliver
Construction completion, possession and transfer of title are different events. An agreement may provide for the home to be handed over before a separate title deed is issued. The absence of that deed does not, by itself, establish a breach of the delivery obligation. Handing over keys while essential works remain unfinished does not necessarily fulfil the delivery obligation.
Completion is assessed against the agreed plans and specifications. Minor snagging in an otherwise habitable apartment is different from unfinished work affecting electricity, water or safe access. An independent architect or engineer can identify what remains outstanding and assess compliance with the contract and relevant approvals.
The agreement also determines how the delivery date is calculated. A twelve-month construction period running from the issue of a building permit gives a different deadline from twelve months after signature. A date described as “estimated” calls for closer interpretation, and any agreed grace period must be included in the calculation.
Extensions and explanations for delay
Shortages of materials or delays in obtaining permits may fall within a contractual extension clause. The developer’s explanation must be tested against that clause and evidence of how the event affected the works. Some clauses require notice within a specified period. A general reference to difficulties in the construction industry does not justify postponing delivery indefinitely.
Alterations requested by the buyer can disrupt the construction programme. Their effect on delivery must be assessed against the work actually required; a change requested early in construction may not explain why the property remains unfinished months later. An overdue instalment can also give the developer rights under the agreement.
Where an individual buys from a developer for purposes outside their trade, business or profession, an unfair term is not binding on that consumer. An excessively broad extension or exclusion clause can be challenged on that basis, although a term is not unfair simply because it disadvantages the buyer. A company purchaser does not qualify as a consumer under this regime.
When termination becomes possible
Under Cyprus contract law, missing a deadline can entitle the buyer to end the agreement where the parties intended timely performance to be essential. A date written in the contract does not necessarily establish that intention; the agreement as a whole and the relevant circumstances must be considered.
If time was not essential, a delay can give rise to compensation without an immediate right to terminate. Following undue delay, a notice requiring completion within a reasonable period can make time essential. The notice must clearly state the consequence of non-compliance: the buyer will treat it as grounds for termination. Any applicable requirements for service must also be met.
In Demari Kronos Ltd v Gray, decided by the Supreme Court in 2023, the buyers of an unfinished apartment gave the developer thirty days to complete. The Court held that time was not originally essential under that agreement and that the notice allowed an unreasonable period given the substantial work remaining. The buyers’ termination was unlawful.
Some agreements expressly permit termination if delivery has not taken place by a final date, subject to stated conditions. An unequivocal refusal by the developer to perform the contract may also justify termination. An agreed extension, or conduct accepting continuation, can affect whether a right to terminate remains available.
Lawful termination may support repayment of sums paid as well as a damages claim. If the developer has insufficient assets, however, even a successful claim may be difficult to enforce.
Compensation for late delivery
The purchase can continue while the buyer pursues compensation for the developer’s breach. The contract and any earlier waiver or settlement determine which claims remain available.
Cyprus courts have awarded damages based on rental value to compensate for loss of use during delayed delivery. Additional accommodation or storage costs can also be claimed if the breach caused them and they meet the rules on recoverable loss. For an investment property, the claim for lost rent requires evidence of the income the property could have earned, allowing for expenses saved. Overlapping losses cannot be recovered twice.
Recovery is limited to losses caused by the breach which arise naturally from it or were within the parties’ contemplation when they contracted. A developer’s optimistic rental projection is not, by itself, proof of recoverable income. A rental valuation supported by comparable lettings, together with records of actual expenditure, gives the court evidence on which to assess the claim.
A daily or monthly sum written into the contract does not guarantee payment of the full calculation. For a breach covered by such a clause, Cyprus law allows reasonable compensation up to the stipulated amount. The court assesses the claim within that limit, taking account of the agreed figure and the evidence of loss. The wording of the clause determines the breach and period it covers.
Compensation can be reduced where a buyer unreasonably allows avoidable losses to accumulate. The law does not require disproportionate expense or acceptance of an unsuitable solution, but unnecessary expenditure may not be recoverable. Contemporaneous rental agreements, invoices and payment records help distinguish the financial effect of the delay from costs the buyer would have incurred anyway.
Instalments and the eventual handover
Where an instalment depends on a construction stage that has not been reached, it may not yet be due. For an instalment already due, the buyer cannot assume that delay permits withholding payment or deducting a self-assessed compensation figure. That requires a basis in the payment terms or an available legal right, such as set-off.
In Lainers Enterprises Ltd v Masterya Ltd and another, decided on 23 September 2026, the Supreme Court left standing the finding that the instalments under those agreements were payable independently of construction progress. It also upheld the interpretation that permit delays activated the contractual extension provisions. The buyers’ termination remained wrongful.
At handover, the buyer may be offered a document confirming full satisfaction or settling all outstanding claims. Signing it could release the developer from a claim for compensation. An agreed snagging list does not necessarily preserve a separate claim for delay.
A buyer entitled to terminate because an essential delivery deadline was missed may instead accept late performance. To preserve a claim for delay compensation in that situation, the buyer must notify the developer of that intention at acceptance. A clear written reservation provides evidence of the notification.
Resolving the dispute while protecting the purchase
If the project remains viable, the parties may agree a revised delivery date and payment arrangements tied to the remaining works. They can settle compensation already accrued or expressly leave that claim open.
A buyer who still wants the property may seek specific performance, asking the court to enforce the seller’s obligations under the sale agreement. Where the statutory requirements are satisfied, the court’s powers can extend to steps needed for permits and separate registration. The court retains discretion over the order. Depositing the contract at the Land Registry does not guarantee completion of the development.
A contract properly deposited at the Land Registry creates a statutory encumbrance over the property. Withdrawing it as part of a settlement can surrender that protection before repayment has been secured. Existing mortgages and their priority may also affect the security available to the buyer.
Contractual claims are generally subject to a six-year limitation period from accrual of the cause of action, with exceptions. Negotiations do not suspend that period merely because the parties are discussing a solution.
How we can help
A. Danos & Associates LLC advises purchasers facing delayed delivery of property in Cyprus. We examine the sale agreement and the history of the project to establish the available remedies, including whether termination is justified. Our work includes negotiating completion arrangements and compensation, preparing contractual notices and representing buyers in court proceedings where necessary.
